Terms and Conditions 04-17-2026

1. Agreement 

These Master Terms & Conditions (“Agreement”) govern all services provided by Dot Com Media (“DCM”), a division of Asseni Corp., a California corporation, to the client identified in the applicable purchase order, proposal, invoice, addendum, or service agreement (“Client”). 

By signing a purchase order, proposal, service agreement, addendum, or by continuing to use DCM’s services after activation, Client agrees to be bound by these Terms. 

Only services expressly selected, purchased, or agreed to in writing are included. 

2. Scope of Services ( General) 

DCM provides digital marketing, web design, local visibility, SEO, paid advertising, content, automation, AI-enabled services, reputation services, tracking, accessibility, hosting, and related marketing services. 

Each selected service is governed by these Master Terms and any service-specific terms stated below or in the applicable purchase order, proposal, or addendum. 

Unless expressly stated otherwise in writing, all services are provided on a best-efforts basis and are subject to: 

• technical feasibility, 

• platform rules, 

• Client cooperation, 

• market competition, 

• budget, 

• access availability, 

• and third-party platform behavior. 

3. Term; Renewal; Termination 

Unless otherwise specified in writing, services are provided under a twelve (12) month term. 

Client may terminate services by providing thirty (30) days’ written notice unless a different minimum term or cancellation period applies to the selected service. 

Termination for material breach requires written notice and a ten (10) day opportunity to cure. 

Client acknowledges that many digital marketing services require a ramp-up and optimization period, and DCM may require up to ninety (90) days from implementation or campaign launch before meaningful performance can be evaluated. 

Client remains responsible for: 

• all fees incurred through the effective cancellation date, 

• all fees due during any required notice period, 

• and all outstanding balances accrued before termination. 

Certain services may automatically continue on a month-to-month basis after the initial term unless canceled in writing in accordance with the applicable service terms. 

4. Payment Terms 

All payments are due as stated in the applicable purchase order, invoice, payment authorization, or proposal. 

Unless otherwise stated: 

• all service fees are separate from ad spend, 

• all ad spend is funded directly by Client or billed separately, 

• and all payments made for services rendered are non-refundable. 

Late payments may result in: 

• a 5% late fee per installment, 

• suspension of services, 

• delayed deliverables, 

• or withholding of account access, files, or transfer. 

DCM reserves the right to pursue collections through internal efforts, collection agencies, attorneys, arbitration, or lawful legal process. Client agrees to reimburse DCM for: 

• collection costs, 

• administrative fees, 

• arbitration costs, 

• court costs where applicable, 

• and reasonable attorneys’ fees. 

DCM may suspend or withhold services, access, deliverables, websites, accounts, transfers, or other work product in the event of non-payment. 

5. Chargeback; Stop Payment; Payment Authorization 

By entering into this Agreement and submitting payment, Client confirms that all charges are authorized. 

Client agrees not to initiate any: 

• chargeback, 

• payment reversal, 

• disputed transaction, 

• ACH reversal, 

• or stop-payment request 

for services rendered in accordance with this Agreement. 

Any such attempt shall constitute a material breach of contract. 

6. Client Responsibilities 

Client agrees to: 

• provide timely and accurate access to accounts, websites, hosting, domains, CRM systems, profiles, ad accounts, analytics, and other required platforms; 

• provide accurate business information, service details, content, approvals, and assets; 

• comply with applicable advertising laws, consumer protection laws, privacy laws, and platform policies; 

• maintain communication with DCM; 

• respond to requests for approvals, revisions, access, or information within two (2) to three (3) business days unless otherwise stated. 

If Client does not respond within the applicable approval period, DCM may treat the non-response as approval and proceed accordingly. 

Client acknowledges that failure to meet these responsibilities may materially affect campaign performance, delivery timelines, rankings, placements, lead flow, or guarantees, and such failure shall not constitute a breach or failure of performance by DCM. 

7. DCM Right to Pause, Delay, or Refuse Services 

DCM reserves the right to pause, delay, suspend, or refuse performance of services if Client fails to provide: 

• required access, 

• required approvals, 

• required assets, 

• required payment, 

• or timely communication. 

Any delay caused by Client does not reduce Client’s payment obligations and may extend project or campaign timelines. 

8. Conditional Performance Guarantee -Money-Back  

Client acknowledges that digital marketing performance depends on multiple factors  

outside of DCM’s control, including but not limited to competition, budget, market  

conditions, platform algorithms, user behavior, Client reputation, and Client’s timely  

cooperation. 

Unless a specific performance guarantee is expressly stated in writing within the  

applicable Purchase Order, proposal, or addendum, DCM does not guarantee any specific  results, including but not limited to specific keyword rankings, traffic, lead volume, revenue, or return on investment.  

For services that include a stated performance or lead guarantee, such guarantee shall  

apply only to that specific purchase order and its terms metrics, and conditions defined in writing. Any such guarantee may be affected or voided by Client delays, lack of cooperation, insufficient budget, or changes in platform algorithms or market conditions.  

Where a valid guarantee applies and is not met in accordance with the agreed terms,  

Client may be eligible for a prorated service credit or refund, as defined in the applicable service agreement.  

If Client modifies, removes, overwrites, duplicates, redirects, or interferes with DCM’s implemented strategy, code, structure, content, metadata, account settings, campaign settings, access without DCM’s written approval, any guarantee shall be immediately void. 

DCM reserves the right to adjust keyword targets, surrounding target areas, or strategy components if market conditions, competition, or platform behavior make the original selections commercially impractical. 

9. Exclusivity 

Nothing in this Agreement grants Client exclusivity unless exclusivity is expressly stated in writing. 

DCM may provide similar services to other clients, including competitors. 

If exclusivity is offered, it must be expressly defined in writing and shall be limited to: 

• a clearly defined geographic area, 

• a specific service category or vertical, 

• and a defined period of time. 

Any exclusivity is conditioned on: 

• timely payment, 

• active participation, 

• full cooperation, 

• and uninterrupted engagement of services. 

DCM may revoke exclusivity if these conditions are not met. 

10. Budget and Performance Relationship 

Client acknowledges that performance is directly influenced by available budget. 

Lower or insufficient budgets may limit: 

• campaign reach, 

• ad delivery, 

• keyword competitiveness, 

• placement opportunities, 

• click volume, 

• retargeting volume, 

• and overall results. 

Recommended budgets are estimates only and may vary by industry, market, competition, and service area. 

11. Intellectual Property; Ownership; Access Control 

DCM retains ownership of all proprietary systems, processes, frameworks, methodologies, scripts, structures, internal tools, campaign systems, automation logic, proprietary coding, and strategic materials developed by DCM unless expressly transferred in writing. 

Client retains ownership of: 

• its business name, 

• brand, 

• logos, 

• client-provided materials, 

• and other pre-existing business assets. 

Unless otherwise stated in writing, DCM may retain administrative control of accounts, websites, dashboards, platforms, or digital assets created or managed under this Agreement until all outstanding balances are paid in full. 

Upon payment in full, DCM will provide reasonable transfer or access to Client-owned assets, where applicable. DCM proprietary systems, methods, internal frameworks, and non-transferred tools remain DCM property. 

11.1 Self-Installation; SEO Code; On-Page Files 

If DCM cannot install optimization code, setup files, tags, metadata, schema, or related implementation due to technical limitations, hosting restrictions, permission issues, or lack of access, DCM may provide files or instructions to Client or Client’s agent for self-installation. 

Client is responsible for proper installation and timely confirmation once completed. 

DCM shall not be liable for delays, lost rankings, lost placements, or errors caused by incorrect, altered, delayed, partial, or failed self-installation. 

11.2 Re-Application Fee 

If DCM must re-apply optimization work or technical implementations due to: 

• Client edits, 

• third-party edits, 

• rebuilds, 

• migrations, 

• theme or plugin conflicts, 

• hosting transfers, 

• access changes, 

• or improper self-installation, 

Client agrees to a minimum $500 re-application fee per occurrence, payable before re-implementation. 

11.3 Duplication of DCM Work 

If Client or any third party duplicates, copies, or republishes DCM-created content, metadata, page structure, or optimization work on another site without written approval, any related guarantees shall be void. 

12. AI, Automation, and Software-Based Services 

Client acknowledges that certain services may include: 

• automated systems, 

• AI-driven communication and tasks , 

• software-based workflows, 

• visitor tracking tools, 

• chat systems, 

• content-generation tools, 

• lead routing systems, 

• and related automation technologies. 

While DCM uses reasonable standards, safeguards, and implementation practices, Client understands and accepts that such systems may produce variable, probabilistic, delayed, incomplete, inaccurate, or unintended outputs, including but not limited to: 

• messaging outcomes, 

• lead routing behavior, 

• content generation, 

• workflow actions, 

• tagging behavior, 

• or automation sequences. 

DCM shall not be liable for unintended or variable outputs arising from such systems, provided DCM has followed reasonable standards of setup, implementation, and maintenance consistent with the selected service. 

Client remains responsible for reviewing, approving, monitoring, and properly using any automation, communication, or AI-enabled service deployed for Client’s business where such review or approval is requested or reasonably required. 

13. Limitation of Liability 

DCM shall not be liable for: 

• indirect, incidental, special, punitive, or consequential damages; 

• lost revenue, lost profits, lost business opportunity, or lost data; 

• ranking loss or visibility changes; 

• indexing changes; 

• platform suspensions; 

• account restrictions; 

• third-party outages; 

• search engine penalties not caused directly by DCM; 

• actions by independent agents, resellers, or third-party platforms. 

In no event shall DCM’s total liability exceed the amount paid by Client to DCM in the thirty (30) days preceding the claim. 

Client agrees that this limitation applies regardless of the form of action, including contract, tort, statute, negligence, strict liability, or otherwise. 

14. Indemnification 

Client agrees to indemnify, defend, and hold harmless DCM and its officers, directors, employees, agents, contractors, affiliates, successors, and assigns from any claims, liabilities, losses, damages, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: 

• Client-provided content, 

• false or misleading advertising, 

• regulatory violations, 

• privacy violations, 

• Client’s breach of this Agreement, 

• intellectual property infringement arising from Client-supplied materials, 

• or Client’s violation of the rights of any third party. 

15. Platform and Third-Party Disclaimer 

DCM is not responsible for changes, actions, outages, suspensions, policy revisions, algorithm changes, service disruptions, reduced visibility, or platform decisions made by third-party platforms, including but not limited to: 

• Google, 

• Bing, 

• Yahoo, 

• Meta, 

• Instagram, 

• Facebook, 

• LinkedIn, 

• YouTube, 

• TikTok, 

• Yelp, 

• review platforms, 

• directory platforms, 

• CRM providers, 

• hosting providers, 

• DNS providers, 

• and related vendors. 

16. Force Majeure; Interruption of Service 

DCM shall not be liable for delay or failure in performance due to events beyond its reasonable control, including but not limited to: 

• acts of God, 

• natural disasters, 

• war, 

• terrorism, 

• labor disputes, 

• governmental actions, 

• pandemics, 

• internet failures, 

• server outages, 

• DNS delays, 

• hosting failures, 

• or platform disruptions. 

If such interruption exceeds thirty (30) days, either party may terminate the affected service with ten (10) days’ written notice. 

17. Arbitration; Governing Law; Venue 

All disputes arising out of or relating to this Agreement shall be resolved exclusively by binding individual arbitration in Los Angeles County, California. 

This Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles. 

The parties: 

• waive any right to trial by jury, 

• waive any right to class, collective, or representative action, 

• and agree that arbitration is the exclusive remedy for disputes other than lawful collection activity and temporary or injunctive relief where appropriate. 

The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs. 

Judgment on the arbitration award may be entered in any court of competent jurisdiction. 

DCM may pursue lawful collection efforts before or alongside arbitration as permitted by law. 

18. Independent Contractor Status 

DCM is and shall remain an independent contractor. Nothing in this Agreement creates any: 

• partnership, 

• joint venture, 

• fiduciary duty, 

• employment relationship, 

• or agency relationship. 

19. No Verbal Agreements; No Reliance on Outside Representations 

No verbal statement, sales discussion, draft proposal, marketing material, informal communication, or oral promise shall be binding unless expressly included in a signed writing, proposal, addendum, purchase order, or service agreement. 

DCM shall not be bound by any promise, statement, or representation not expressly included in writing in the governing contract documents. 

Client acknowledges that it is entering into this Agreement based solely on the written terms agreed between the parties. 

20. Timeline Disclaimer 

All timelines are estimates only and may vary based on: 

• project scope, 

• Client responsiveness, 

• technical feasibility, 

• access, 

• platform behavior, 

• vendor delays, 

• and external conditions. 

21. Entire Agreement; Severability; Modification 

This Agreement, together with any applicable purchase order, proposal, invoice, addendum, or service attachment, constitutes the entire understanding between the parties and supersedes all prior discussions relating to the same subject matter. 

If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

Any modification must be in writing and accepted by both parties. 

22. Personal Guaranty (If Applicable) 

If the Client is a corporation, limited liability company, partnership, or other business entity, the undersigned individual executing the Agreement on behalf of Client may be required, if stated in the purchase order, proposal, or signature page, to personally guarantee Client’s payment and performance obligations under this Agreement. 

By signing as Personal Guarantor, the undersigned personally and unconditionally guarantees the full and timely payment of all amounts owed by Client to DCM, including: 

• service fees, 

• late fees, 

• collection costs, 

• arbitration costs, 

• and reasonable attorneys’ fees. 

This guaranty is continuing, absolute, and unconditional, and shall remain in effect until all obligations owed to DCM have been fully satisfied. 

23. SERVICES-SPECIFIC TERMS AND DESCRIPTIONS 

The following service terms apply only if the applicable service is purchased, included in a package, or otherwise agreed to in writing. 

23.1 Local Authority Growth (GBP + SEO) – Renewal (12-Month Service) 

This service includes ongoing management of an existing local authority campaign and may include: 

Organic SEO Maintenance 

• maintenance of current keyword rankings, 

• ongoing on-page SEO improvements, 

• content updates, 

• blogs, 

• backlink efforts, 

• technical SEO refinements, 

• and related optimization work as deemed appropriate by DCM. 

Reporting 

• monthly performance reports. 

Local and Authority Signals 

• directory maintenance and citation updates, 

• local booster maintenance, 

• review management system access and setup, 

• Google Business Profile updates and maintenance. 

Client acknowledges that the review management system is a required part of this strategy and Client participation is mandatory where requested. 

Technical 

• hosting if the website was built by DCM or if separately added, 

• uptime monitoring, 

• basic speed optimization, 

• domain and security monitoring. 

Additional Conditions 

Client must implement recommendations, updates, and required paid directories where specified by DCM if DCM is not client’s website design or developer . Failure to implement required recommendations may adversely impact rankings or guaranteed placements and will release DCM from liability for non-performance. 

For pages not directly optimized by DCM, Client is responsible for ensuring pages contain sufficient original, keyword-relevant content. For DCM-optimized pages, client must follow the keyword phrase direction provided by DCM. 

DCM may target surrounding geographic areas within approximately a 25-mile radius of the business location unless otherwise defined in writing and report on the rankings achieved in these area as well as part of performance guarantee written in purchase agreement . 

Performance Conversion Service Package 

If Client purchases a PPP or similar placement-based package, Client understands that DCM may pursue placements across multiple outlets, including but not limited to: 

• organic search, 

• paid ads, 

• local map results, 

LSA, 

• responsive search ads, 

• call-only ads, 

• YouTube, 

• Google Business Profile visibility, 

• and related digital outlets. 

DCM may guarantee a minimum number of cumulative placements, not necessarily a specific number within any one platform. 

Each service package generally covers a 10-mile radius from the Client’s pinned business location unless expanded territory is purchased. 

Initial Setup and Learning Period 

The first 30 days are generally devoted to planning, research, implementation, setup, and platform learning. Reporting during this period may not reflect full campaign performance. 

Both paid and organic components may require 60–90 days to calibrate and mature. 

Budget Rollover 

Where applicable, unused paid media budget in the first 30 days may roll into the following month one time. 

Payment and Placement Dependency 

If payment is more than three (3) days late, previously achieved placements may be disrupted, paused, or lost, and additional fees may apply to restore them. 

Optional coaching, call tracking, analytics, or conversion support may be provided as courtesy add-ons and are not part of the guaranteed placement obligation unless expressly stated otherwise. 

Lead Activity Guarantee (Primary Guarantee): DCM agrees to use commercially reasonable efforts to deliver the Minimum Lead Delivery Threshold (“MLDT”) specified in the applicable Purchase Order within thirty (30) days following campaign deployment, subject to the terms and conditions set forth below. 

Campaign Deployment & Ramp Period. The parties acknowledge that campaign deployment includes an initial setup, verification, and activation phase, which may require approximately two (2) to three (3) weeks to complete and is included in the first month’s service fee. 

During this initial period, lead delivery in the first month may be lower than the MLDT, as paid media budgets may not be fully deployable until all setups, verifications, approvals, and platform requirements are completed. Campaign activity, including both organic and paid media efforts, may begin during the first month and is expected to ramp progressively as campaigns are optimized and reach steady performance. Full optimization and stabilization may take 90 to 180 days, as Google and other advertising platforms utilize machine-learning systems that require time and data to improve performance. The MLDT measurement period does not begin until all required setups are completed and the campaign is fully live. 

Qualified Lead Definition: For purposes of the MLDT, a “Qualified Lead” must: 

Relate directly to the Client’s offered services 

Originate from campaign activity managed by DCM 

Include valid contact information or a legitimate service inquiry 

Qualified Leads may include, without limitation: phone calls, emails, web forms, messaging inquiries, social media inquiries, or live chat requests. 

Spam, solicitations, wrong-number calls, unrelated inquiries, non-service requests, or invalid contact information shall not be counted toward the MLDT. 

Failure to Meet MLDT After Optimization: If the MLDT is not achieved following the Optimization Period, the Client may be eligible for a prorated service credit or refund of DCM management fees, calculated solely based on the percentage shortfall of the MLDT, subject to the limitations set forth in this Agreement. 

Satisfaction of Performance Obligation: Once the MLDT for a given month or applicable guarantee period has been achieved, DCM’s performance obligation shall be deemed fully satisfied, regardless of lead placement counts, channel mix, conversion rates, lead disposition, or downstream business outcomes. 

Visibility Guarantee (Secondary Guarantee): DCM will use commercially reasonable efforts to deliver the minimum level of first-page search placement exposure (“Target Placements”) included in the Client’s selected package within the first ninety (90) days of active campaign deployment. If the Target Placements are not achieved or displayed within this initial period, DCM will continue optimization and campaign management for up to thirty (30) additional days at no additional cost (the “Placement Optimization Period”), excluding any pay-per-click (PPC) or other paid media spend, which shall remain the Client’s responsibility. f the Target Placements remain unmet following the Placement Optimization Period, no refund or service credit shall be owed, provided that the applicable Minimum Lead Delivery Threshold outlined in the Purchase Order has been satisfied. Client acknowledges that search placements may fluctuate due to factors outside DCM’s control, including algorithm updates, competitive activity, market demand, seasonality, and geographic conditions. First-page placement does not imply permanent ranking, a specific position order, guaranteed traffic volume, or continuity of visibility. 

Implementation & Setup Timeframes (Estimated): The parties acknowledge that campaign implementation requires multiple setup, verification, and approval steps, many of which are controlled by third-party platforms. Typical setup timelines may include, but are not limited to: 

On-page creation, optimization, and setup: approx. (14) days 

Landing page development and implementation (if required): approx. 14 business days 

Google Business Profile (GMB/GBP) optimization: approx. 14 days 

If available , Google Local Services Ads (LSA) setup, verification, and document approval: approximately seven (7) days to six (6) or more weeks, depending on documents requirements by Google and the Client’s timely submission of all requested documentation, including video verification if required 

PPC account setup, analytics configuration, and campaign launch: approx. 14 business days , depending on campaign complexity and landing page requirements 

All timelines are estimates only and may be extended due to platform approval delays, missing or incomplete client information, verification issues, technical constraints, or payment interruptions. 

GBP MAPS REVENUE ACCELERATOR Service 

Scope of Services 

DCM provides access to the GBP Revenue Accelerator System, which includes strategic frameworks, training materials, tutorial videos, templates, and integrated software tools designed to assist the Client in independently optimizing and managing their Google Business Profile (“GBP”). 

The system may incorporate dashboards, automation features, tracking tools, or other technology components designed to support the Client’s independent implementation. 

All optimization activities, profile updates, content uploads, posts, citation creation, and reputation management actions are performed directly by the Client using the guidance and system resources provided. 

DCM does not perform Google Business Profile optimization services, listing management, posting, citation building, or any implementation work under this DIY program. 

Rankings, traffic, visibility, leads, and revenue are not guaranteed. 

DCM may provide educational guidance regarding recommended website on-page optimization practices that may support GBP visibility. Any implementation must be performed by the Client or by the Client’s chosen third-party providers. 

Client Responsibilities 

Client agrees to: 

• Implement strategies provided within the GBP Revenue Accelerator System. 

• Provide accurate and truthful business information. 

• Maintain compliance with Google policies and platform guidelines. 

• Maintain access credentials for all listings and accounts. 

• Upload images, posts, content, and listings recommended by the system. 

• Comply with federal, state, and California advertising laws. 

Failure by the Client to properly implement system guidance may impact results. 

DCM is not responsible for incomplete implementation, incorrect execution, or failure by the Client to follow the system instructions. 

DIY System Disclaimer 

The GBP Revenue Accelerator System is an educational and strategic framework designed to guide the Client in optimizing their Google Business Profile. 

DCM provides training materials, tutorials, templates, and strategic guidance only. 

All implementation and operational decisions are performed by the Client. 

DCM does not manage or control the Client’s Google Business Profile under the DIY program. 

Client Execution Responsibility 

Client assumes full responsibility for: 

• Following system instructions 

• Implementing optimization strategies 

• Managing listings and profiles 

• Uploading content and images 

• Monitoring reviews and engagement 

Results depend entirely on the Client’s execution. 

23.3 Additional Website Content Writing (AI + Human) 

DCM may create SEO-focused content for designated pages based on Client’s services, products, markets, and positioning. 

Unless otherwise stated, each content page includes: 

• approximately 500–750 words of original content, 

• one relevant image, 

• and SEO-focused copy intended to build trust, communicate value, and support page relevance. 

One (1) round of revisions is included. Revision requests must be submitted in writing within seven (7) calendar days of delivery. If no response is received within that period, the content shall be deemed approved. 

Additional revisions or expanded word count may incur additional fees. 

23.4 Blog Setup and Posting 

DCM may create on-site and/or off-site blogs to support SEO and visibility efforts. 

If on-site integration is not feasible, DCM may create an off-site blog using a separate URL resembling Client’s domain. 

Client must provide access credentials within two (2) to three (3) business days if required. If Client fails to respond, DCM may proceed using available information and publish content accordingly. 

23.5 Press Release Writing and Distribution 

This service may include: 

• drafting of a professional press release, 

• distribution to 300+ media outlets, 

• syndication to premium news affiliate websites, 

• inclusion of images and hyperlinks, 

• inclusion in Google News and Bing News where available through the distribution network, 

• national distribution, 

• blog and social outreach, 

• distribution generally within 72 hours after final approval, 

• interactive reporting, 

• and distribution under Client’s business name. 

Client understands that syndication and pickup are subject to distributor acceptance, editorial filters, and media network behavior. Specific placements beyond stated distribution scope are not guaranteed unless expressly stated in writing. 

23.6 Custom Live Chat Agent 

DCM may provide a live chat service designed to engage website visitors in real time and assist with lead capture. 

This service may include: 

• installation of live chat script or widget, 

• trained live chat agents, 

• use of pre-approved qualifying questions, 

• lead qualification and routing, 

• custom scripts and tone configuration. 

Live agents are not authorized to provide legal, medical, financial, or other professional advice. Their role is limited to lead engagement and qualification. 

Client is responsible for: 

• timely installation or approval of the live chat script where required, 

• and timely follow-up on leads delivered. 

If priced per qualified lead, fees apply as defined in the applicable agreement. 

HIPAA-compliant setup may be available if expressly selected and properly implemented. 

23.7 Custom Website Design / Website Redesign 

DCM may provide custom website design or redesign services based on Client’s instructions, questionnaire responses, examples, and specifications. 

Unless otherwise stated, this service may include: 

• custom design, 

• mobile-responsive layout, 

• content integration or content creation where included, 

• stock or client-supplied images, 

• staging review, 

• and limited revision rounds. 

If DCM is building a new site, Client must keep the current site or domain active until DCM confirms launch readiness. 

Unless otherwise stated: 

• two (2) revision rounds are included for design projects,

Hosting Requirement 

Websites built by DCM may be required to be hosted on DCM-managed WordPress hosting for at least the first year, or longer where a guarantee-based package requires DCM hosting control. 

Staging vs. Live Access 

DCM may provide access to a staging site. Live administrative access may be restricted where necessary to protect deliverables, hosting integrity, placement guarantees, or optimization integrity. 

Ownership of Bundled Websites 

If a website is bundled with a digital marketing package, DCM may retain ownership of the site for a stated period, such as twenty-four (24) months, if specified in the purchase order. Early transfer may require payment of any remaining design balance or buyout fee. 

Changes or redesign requests made during an active campaign may delay performance timelines or placement timelines. 

23.8 Google Business Profile Management ( General) 

DCM may provide setup, optimization, and management of the Client’s Google Business Profile. 

To qualify, the profile may be required to: 

• be in good standing, 

• have a real physical address, 

• be publicly visible, 

• meet review minimums if required by the package, 

• and not share an address with another business where that would create conflict or suspension risk. 

If a new profile is needed, DCM may assist with setup in accordance with Google policies. 

Client agrees to grant requested management access. If ownership or management access is not granted within seven (7) business days, DCM may treat the service as self-managed and provide guidance only. 

Client remains responsible for duplicate listing issues, verification delays, suspensions, and compliance with platform rules unless expressly retained by DCM to address them. 

No ROI, lead, or revenue outcomes are guaranteed. 

23.9 Diversified Backlinks 

Different Platforms: Blogs, Guest Posts, news sites, directories, forums, and social media. 
 

Different “Weights”: Some high-authority (big  sites) and some niche-relevant (local industry blogs). 
 

Different Link Types: A mix of “Follow” (passes SEO juice) and “No-Follow” (looks natural to Google). 
 

Different Anchor Text: Using your brand name, specific keywords, and generic phrases like “click here. 

23.10 Hosting, Security, and Website Uptime Monitoring 

DCM may provide WordPress hosting, security, maintenance support, and uptime monitoring. 

Client acknowledges: 

• DNS propagation and migration may cause temporary downtime of up to 72 hours, 

• periodic maintenance may cause intermittent downtime, 

• WordPress compatibility may be required, 

• email migration assistance, if any, must be addressed during setup. 

If DCM hosts the site as part of a guarantee-driven package, live access may be restricted unless waived in writing, and such waiver may void any related guarantee. 

Upon termination, and only after all balances are paid in full, DCM will provide a copy of the website files where applicable for transfer. 

23.11 LinkedIn Marketing Campaign 

This service applies per LinkedIn profile. 

Client must: 

• maintain the required LinkedIn account level, including Sales Navigator where required, 

• provide uninterrupted access, 

• approve message sequences before launch, 

• and respond to leads in a timely manner. 

DCM may: 

• optimize the profile, 

• conduct audience research, 

• create message sequences, 

• manage outreach, 

• and manage basic responses. 

Target responses, such as 5–10 qualified interests per month, are estimates after a typical 60-day ramp-up and are not guaranteed unless expressly stated in writing. 

A minimum three (3) month commitment may apply. Cancellation after that period requires thirty (30) days’ written notice unless otherwise stated. 

23.12 Local Booster 

DCM may provide local citation, NAP consistency, and local authority services. 

This may include: 

• auditing and correcting business listings, 

• updating name, address, and phone number data, 

• citation submissions, 

• cleanup of inaccurate listings, 

• and related local authority activities. 

If content publishing is included, Client authorizes DCM to use business information, logos, descriptions, photos, and other available assets for that purpose. 

Client must complete onboarding information as requested. If not, DCM may proceed based on available information. 

No specific ranking, traffic, or revenue outcomes are guaranteed. 

23.13 PPC / Paid Online Ads Management / LSA 

If purchased, DCM may manage paid ad campaigns on platforms such as: 

• Google Ads, 

• Local Services Ads, 

• Meta, 

• Instagram, 

• YouTube, 

• Bing, 

• LinkedIn, 

• TikTok, 

• and related platforms. 

Client must provide: 

• required current ads account access, 

• billing access to use client’s credit card where applicable, 

• valid business information  

• and proof of business legitimacy were required. 

PPC / paid media fees may include: 

• one-time setup fee, 

• ongoing management fee, 

• ad spend budget, 

• and separate platform spend. 

Unless otherwise stated, ad spend is separate from management. 

Campaign Timing 

Setup may take approximately 30 days or longer depending on access and complexity. Campaigns commonly require 60–90 days of testing and optimization. 

Once campaign work begins, setup fees, management fees, and spend processed through DCM accounts or credit facilities are non-refundable. 

Cancellation requires written notice at least 30 days before the end of a billing cycle unless otherwise stated. 

No guarantees are made as to impressions, clicks, cost per lead, frequency, placement location, or overall campaign performance unless expressly stated in writing. 

23.14 Social Media Monthly Management 

DCM may manage selected social media profiles, including: 

• Facebook, 

• Instagram, 

• LinkedIn, 

• Twitter/X, 

• TikTok, 

• and other platforms where specified. 

 
This service may include: 

• profile setup or optimization, 

• posting of content, 

• up to approximately 30 posts per month where included, 

• organic audience growth efforts, 

• connection or follow outreach where appropriate, 

• and monthly reporting. 

Unless otherwise stated, content may use stock images and images found on Client’s site or provided by Client. 

Unless expressly included, this service does not include: 

• custom graphics, 

• video production, 

• paid ads, 

• or guaranteed follower growth. 

Client remains responsible for responding to incoming messages, comments, and leads unless expressly retained for DCM management. 

23.15 Video Commercial Creation and Marketing 

DCM may create a short-form commercial or promotional video, generally 30–45 seconds in length. 

Unless otherwise stated: 

• Client provides the script or required messaging, 

• one draft is delivered, 

• one revision is included, 

• and the final video may be optimized and distributed to selected video-sharing platforms. 

Specific ranking, view count, lead generation, or revenue outcomes are not guaranteed. 

23.16 Website Maintenance and Hosting Service 

DCM may provide routine maintenance and hosting services. 

Unless otherwise stated, maintenance may include up to ten (10) updates per month using Client-provided content, formatted images  and materials. 

New content creation is not included unless separately purchased. 

Temporary downtime may occur during hosting transfer or maintenance windows. 

No specific performance outcomes are guaranteed from hosting or maintenance services alone. 

23.17 ADA Accessibility Solution 

DCM may provide an ADA accessibility widget and related technical setup designed to improve accessibility support. 

This service is a technical solution only and does not constitute legal advice or legal compliance certification. 

Coverage and Limits 

The service may include: 

• user interface adjustments, 

• AI-driven backend accessibility support, 

• scanning and monitoring, 

• annual renewal terms, 

• and technical support documentation. 

Certain items may not be covered without additional services, including: 

• PDFs, 

• office documents, 

• audio/video files, 

• embedded content, 

• SVGs, 

• Canvas, 

• Flash, 

• and certain dynamic URL parameter-based assets. 

Litigation Support 

If Client receives an accessibility-related demand or notice, DCM may provide a technical support package documenting the accessibility measures implemented. DCM does not provide legal representation. 

Auto-Renewal 

Unless canceled in writing at least 30 days before renewal, the ADA service may automatically renew for another 12-month term if so stated in the service setup. 

Installation of the ADA service does not guarantee freedom from claims, complaints, or enforcement activity. 

23.18 Automated Lead Conversion and Client Engagement Service 

DCM may provide AI-assisted automation and follow-up services designed to improve lead conversion and operational efficiency. 

This may include: 

• follow-ups, 

• reminders, 

• automated messaging, 

SMS, 

• voice calls, 

• email automation, 

• CRM integration, 

• customized workflows, 

• and related setup. 

Client must provide necessary access, accurate information, and approval of workflows. 

Success depends on Client responsiveness, operational processes, and internal handling, and specific results are not guaranteed. 

Usage-Based Charges 

Where applicable, usage charges may apply in addition to any flat service fee, including charges for: 

SMS, 

• voice minutes, 

• and email volume. 

Applicable rates shall be listed in the purchase order or current pricing schedule. 

23.19 Custom Visitor Tracking Service 

DCM may install and manage first-party visitor tracking tools on the Client’s website. 

This may include: 

• visitor behavior tracking, 

• engagement reporting, 

• traffic source analysis, 

• and insight reporting. 

Client retains ownership of collected data. DCM will use such data only to provide services to Client. 

Client is solely responsible for ensuring its privacy policy, tracking disclosures, and consent systems comply with applicable privacy laws, including CCPA and GDPR where applicable. 

No improvement in traffic, conversion, or engagement is guaranteed. 

23.20 Localized Pages 

DCM may create localized SEO pages targeting specific service areas, cities, regions, or local audiences. 

Client must provide required business information, service-area details, and relevant assets. 

Localized pages are intended to support local search visibility but do not carry guaranteed ranking outcomes unless expressly stated in writing. 

23.21 Reputation Management / Reviews Builder 

DCM may provide review generation and reputation management tools, including: 

• dashboard access, 

• automated review requests, 

• review notifications, 

• and optional review promotion tactics. 

Client is responsible for managing user access, internal use of the tool, and responding to incoming reviews unless otherwise agreed. 

Review growth, rating score increases, and customer participation are not guaranteed. 

23.22 Missed Website Visitors Auto Follow-Up 

DCM may use a visitor identification and follow-up system that uses first-party cookies and lawful third-party data matching to identify certain website visitors for follow-up marketing. 

Client is responsible for maintaining a legally compliant privacy policy and opt-out mechanism. 

This service is a marketing enhancement tool only. Lead generation and conversion outcomes are not guaranteed. 

23.23 Google Review Removal Service 

DCM may attempt removal of false, misleading, defamatory, or policy-violating reviews on supported platforms. 

Client must provide: 

• profile link, 

• review link where applicable, 

• and reviewer details where known. 

Billing 

Client is charged only upon successful removal if stated as a per-removal service. Payment is due within 24 hours of successful removal where that pricing structure applies. 

Timeline 

Review removals may take anywhere from 1 to 180 days depending on complexity and platform behavior. 

If a removed review reappears within a stated support period, DCM may attempt re-removal, but no permanent removal is guaranteed. 

23.24 Mandatory Instructions and Implementation Compliance 

Where DCM provides implementation reports, setup files, optimization instructions, functionality guidance, or required paid-directory directives, Client is responsible for complying with those instructions in a timely manner. 

Failure to properly implement or maintain required recommendations, including required paid directories where mandated by DCM’s strategy, may negatively impact performance and void any guarantee or placement commitment. 

23.25 Reciprocal Referral Link Strategies for Legal Clients 

Where expressly authorized by Client, DCM may implement reciprocal referral or attorney recommendation strategies between attorneys in different states for SEO and visibility purposes. 

This may include: 

• footer placement, 

• state-specific referral pages, 

• localized anchor text, 

• and cross-state referral structures. 

Client expressly authorizes such structure when included in the applicable legal-client package or proposal and acknowledges that no conflict of interest is created solely by cross-state practice separation.
