a) SEO
It is the Client’s responsibility to adhere to all instructions provided by DCM via email communications, as outlined in the Service Agreement. These communications may include, but are not limited to, on-page optimization reports, functionality assessments, and related files that explain the necessary updates, alterations, or implementations required (particularly in cases where self-installation is necessary).
The Client agrees to implement all recommendations and updates suggested by DCM in order to enhance the website’s performance and increase the likelihood of achieving improved first-page rankings in organic search results. This includes, but is not limited to, subscribing to required paid directories—this is a mandatory component of the optimization strategy.
Failure to implement, or improper implementation of, the recommended changes may adversely impact the search engine results. In such cases, DCM shall not be held liable for any failure to meet guaranteed placement outcomes.
For all inner website pages not directly optimized by DCM, the Client must ensure that each page contains a minimum of 500 words of original, keyword-relevant content that aligns with the page’s title and meta tags. These tags should be developed by the Client using their desired keyword phrases. For pages optimized by DCM, the Client must incorporate the keyword phrases specified in the On-Page Optimization Report provided by DCM.
If the Client lacks the ability to make the necessary website changes, the Client may request implementation assistance from DCM. Such services may be rendered at an additional cost, subject to mutual agreement and contingent upon the Client’s CRM supporting an SEO-friendly environment.
The Client acknowledges that time is of the essence in the delivery of DCM’s services. Therefore, the Client agrees to respond to any requests for approvals or information made by DCM via email within two (2) to three (3) business days. If no response is received within that time frame, the Client’s non-response will be deemed as approval, and DCM shall proceed accordingly.
Targeted Keyword Phrases
DCM will utilize the keyword phrases and geographic target areas provided by the Client as a guide in developing and executing the digital marketing strategy. These phrases will be selected based on their relevance and importance to the Client’s business and services.
DCM reserves the right to expand the targeting scope to include surrounding areas within a 25-mile radius of the business’s physical location, as listed in the Client’s Purchase Order. While DCM will make reasonable efforts to maintain or improve the rankings previously achieved by the Client and to gain new keyword placements, no specific ranking or keyword placement is guaranteed under the terms of this agreement.
All submissions and optimization efforts carried out by DCM will adhere to search engine-approved practices and anti-spam guidelines. DCM’s process is designed to help ensure that search engine crawlers can identify and rank the Client’s website for relevant keyword phrases based on the content and metadata provided or developed.
Self-Installation and Intellectual Property
If DCM is unable to install SEO code (setup files) on the Client’s website due to technical limitations or permission restrictions—even after receiving accurate access credentials—DCM will deliver the necessary files to the Client or the Client’s designated agent for self-installation.
All proprietary coding, including on-page changes applied to the Client’s website, listings, or landing pages, shall remain the intellectual property of DCM until full payment for the contracted services has been received. Until then, the Client shall not acquire any ownership rights. Upon payment in full, ownership of the proprietary code and programming shall transfer to the Client.
It is essential that SEO code be installed accurately and without delay for the services to perform effectively. Once installed, the Client must promptly notify DCM so that proper verification can be completed. Only after confirmation of correct installation will DCM proceed with submission of the optimized pages to search engines.
DCM shall not be held liable for lost placements, errors, or failures in delivery resulting from improper or altered code installations by the Client or its agents. In the event DCM must re-apply SEO code for any reason, a minimum service fee of $350.00 will apply.
If the Client or their agent modifies, removes, or incorrectly installs DCM’s optimization code or metadata, DCM shall not be held responsible for any resulting delay, disruption, or failure to achieve or maintain placement results. Any such alterations will void any guarantees offered and release DCM from all associated liabilities.
Additionally, if the Client or an agent duplicates any content or metadata developed by DCM and uses it on a separate website, all guarantees made under this agreement shall be rendered null and void.
DCM reserves the right to employ additional marketing strategies at its discretion to improve the visibility and performance of the Client’s website.
Other Duties and Disclaimers
Due to the sensitive and time-dependent nature of digital marketing services, DCM requires that the Client’s website be hosted on DCM’s servers for the duration of the project. If DCM is responsible for building the website, it will automatically be hosted on DCM’s servers.
DCM shall not be held liable for failure to achieve placements or for non-performance if it is not granted timely and complete access to apply necessary SEO code (setup files). Required access includes, but is not limited to, FTP credentials or CMS administrative access. If such access is not provided, DCM will generate the SEO setup files to the best of its ability and deliver them to the Client or their agents for self-installation.
If DCM is unable to apply SEO code due to functionality or access limitations—even with accurate credentials—setup files will be sent to the Client for self-installation. In such cases, DCM shall not be liable for any delays or deficiencies in performance caused by incorrect or delayed implementation.
DCM reserves the right to extend project timelines in the event of search engine algorithm updates or other delays outside of its control. Additionally, DCM reserves the right to increase the Client’s service rate upon thirty (30) days’ notice following the expiration of the initial contract term.
DCM shall not be obligated to provide a refund for any delays in deliverables or ranking reports resulting from search engine updates by Google, Yahoo, or Bing, so long as DCM meets the guaranteed results outlined in the Initial Ranking Report. All payments made to DCM are non-refundable.
If the Client’s domain name (URL) has been registered for fewer than twelve (12) months, achieving guaranteed placements may take longer than the standard contract term. It is strongly recommended that the Client continue digital marketing services beyond the initial contract period to maintain and build upon achieved rankings.
DCM may create and place custom articles within the website’s root directory and may develop a dedicated page for link exchange purposes. All guarantees will be voided if any of the following conditions occur:
Any of the above conditions will absolve DCM of all responsibility for lost or underperforming search placements.
Website Ownership (Applicable Only if Website is Purchased from DCM)
If the Client purchases a website from DCM as part of a bundled Digital Marketing package, DCM shall retain full ownership of the website for a period of twenty-four (24) months from the date of contract execution.
Upon completion of the full 24-month term, ownership of the website will transfer to the Client without additional cost. If the Client terminates the Digital Marketing services before completing the 24-month term, a buyout fee will apply to acquire ownership rights to the website.
For websites included as part of a Digital Marketing package, only 25% of the total web design cost will be invoiced as shown in the Purchase Order. The remaining 75% will be payable only if the Client elects to take ownership prior to the conclusion of the 24-month service period.
If the Client chooses early ownership, the outstanding 75% balance must be paid in full. After the initial 24 months, an annual hosting fee will apply, subject to prevailing market rates at the time.
Any changes or redesigns to the website requested by the Client may result in delays to campaign initiation and subsequently, delays in achieving any guaranteed placements.
b) PPP 10 Packages and Placement Guarantee
DCM offers “PPP 10” marketing packages to help businesses advertise across a variety of digital platforms, including Google’s organic search, paid advertising, and local map results—both paid and organic.
DCM guarantees a minimum number of placements. However, the exact type and location of placements (including Local Services Ads (LSA), responsive search ads, call-only ads, local map listings, and organic search rankings) may vary. Once the guaranteed number of placements has been achieved, DCM’s contractual obligations for that period are considered fulfilled. Continued placement guarantees are contingent upon the Client’s timely answering and updating all required by DCM and of course payment of all invoices on time.
If payment is delayed by more than seven (7) days, previously achieved placements may be suspended or revoked. In such cases, additional fees may apply to reinstate those placements.
DCM may provide optional coaching and training services to help Clients improve their lead conversion efforts. These may include, at DCM’s discretion, analytics support, call tracking, and bi-monthly conversion meetings. These services are provided as complimentary add-ons and are not part of the guaranteed placement commitments. Utilization of these services is not required for fulfillment of DCM’s contractual obligations.
The PPP package focuses on strategic placements across PPC/Display Ads, LSA, Organic Search, GMB , You tube, outlets. These efforts are placement-based, not lead- or conversation-based. The primary goal is to secure high-quality placements that increase the opportunity for a DCM client to attract new business by outranking competitors on the first page of search engine results.
Each package covers a 10-mile radius from the client’s pinned GMB address. If additional territory is desired (and available), it can be added for an extra fee, which varies based on the category and package.
DCM does not guarantee specific placement counts within individual platforms (e.g., LSA, Google Ads, Google Maps, Organic, YouTube, etc.). Instead, we guarantee a total number of cumulative placements across multiple outlets. For example, in a PPP15 package, a result of 10 organic first-page placements, 2 GMB placements, 2 paid placements, and 1 LSA placement fulfills the overall placement guarantee.
c) Additional Website Content Writing (AI + Human)
DCM will create SEO-optimized content for the Client’s website, based on the Client’s products or services. Each content page will include approximately 500–750 words of original content, as well as one relevant image. The purpose of this content is to build trust, communicate value, address customer pain points, and foster meaningful connections with prospective clients.
DCM will research and develop general content for each designated page based on the product or service that page represents. If more than 750 words are required, additional fees may apply.
The Client is allowed one (1) round of revisions. All revision requests must be submitted in writing within seven (7) calendar days from the date the content was delivered for review. If no response is received within that time, the content will be deemed approved, and DCM will have the right to publish the content on the Client’s live website. Any additional revision requests beyond the single included round may incur additional charges.
d) Blog Setup and Postings
DCM will create both onsite and/or offsite blogs for the Client to enhance SEO efforts. The offsite blog will be developed on a standalone platform such as WordPress or other suitable alternatives and will visually reflect the look and feel of the Client’s existing website homepage. An onsite blog will be integrated directly into the Client’s website, if technically feasible.
If onsite blog integration is not possible due to structural limitations or restricted access, DCM will create an offsite blog using a separate URL that closely resembles the Client’s domain name.
It is the Client’s responsibility to provide all necessary website access credentials within two (2) to three (3) business days of signing the Agreement. If the Client fails to respond within this period, the blog content will be considered approved by default, and DCM will proceed with publication.
By not responding within the stated timeframe, the Client grants DCM full authorization to post the blog content live, as delivered.
e) Custom Live Chat Agent
DCM will implement a live chat feature on the Client’s website designed to engage visitors in real-time and help convert them into leads. This service includes access to trained live chat agents who will interact with visitors during their sessions.
Key details of the service:
Live chat agents are not authorized to provide advice, guidance, or opinions. Their role is limited to lead capture and initial qualification.
The Client is responsible for:
The Client will be charged based on the number of qualified leads generated by the live chat agent service, as defined in the specific agreement or Purchase Order.
f) Custom Web Design
DCM will design or redesign a custom website for the Client based on the preferences and specifications provided through a completed Website Questionnaire Form. This may include references to preferred styles, examples, and specific design elements.
The Client must provide access to the current website URL, and the existing website must remain live until the new design is ready for activation. If the Client does not currently own a domain, DCM may purchase one on their behalf and will host it for twelve (12) months.
Content, logos, and images are to be supplied by the Client. If DCM is required to provide content or stock imagery, additional charges may apply.
The Client is leasing the website until it is paid for in full. DCM will provide a design mockup or draft for the Client’s review. The Client is entitled to two (2) revisions at no additional cost. All requested changes must be submitted in writing to avoid miscommunication or delays.
Any additional revisions beyond the included two may incur additional fees. If final approval is not provided by the Client, a mutually agreed fee will be assessed based on the time spent by the design team.
The completion timeline for web design projects may vary depending on the complexity of the design and the Client’s responsiveness. Any estimated timelines are not binding and may be extended.
Websites built or redesigned by DCM must be hosted on DCM’s servers for the first year and will be created on the WordPress platform. Hosting beyond the first year is subject to additional fees.
Access to the staging version of the website will be provided upon request. Access to the live version will not be granted. If the Client needs to make updates and the site is hosted by DCM on WordPress, the Client may request changes to be pushed live by DCM. For additional content, refer to the Content Development section.
It is the Client’s responsibility to provide all necessary access credentials (Domain Name access, hosting control panel, FTP, and/or CMS administrative access). During any hosting transfer process, the Client must not cancel current hosting services until DCM confirms the transfer is complete.
DCM does not guarantee specific results from web design services, including but not limited to return on investment, customer acquisition, or revenue generation.
g) Google My Business Management
DCM will provide optimization and ongoing management of the Client’s Google My Business (GMB) profile to enhance local search visibility and brand exposure.
To qualify for this service, the Client’s GMB profile must:
If a new GMB profile is required, DCM will set it up according to Google’s standards and guidelines. DCM must be designated as the owner of the Client’s GMB profile. As the primary manager, DCM will update business information, optimize listings, and provide FAQ recommendations as needed.
If duplicate listings are found under the Client’s business name and address, the Client must promptly contact Google to remove them, as duplicates can negatively impact visibility and performance.
The Client agrees that only DCM will manage and make changes to the GMB profile. If DCM is not granted ownership access within seven (7) business days of the original request, the GMB management service will be considered self-managed. In this case, DCM will continue to provide guidance and updates, but implementation will be the Client’s responsibility.
DCM does not guarantee any specific outcomes from GMB services, including but not limited to return on investment, lead generation, or revenue increases.
h) Guest Post / Link Outreach
DCM will manage a strategic guest posting and backlink outreach campaign aimed at enhancing the Client’s website authority, search engine visibility, and organic ranking potential.
As part of this service, DCM will:
Content created for guest posting is proprietary and will not be subject to Client review or approval to maintain efficiency and editorial compliance with third-party sites.
DCM will provide a detailed monthly report listing the URLs of all published backlinks.
While this service is designed to support long-term SEO growth, DCM does not guarantee specific outcomes such as rankings, traffic increases, or conversions, due to the nature of search engine algorithms and external variables.
i) Hosting, Security, and Website Uptime Monitoring
DCM will provide hosting services for the Client’s website on DCM’s secure servers for a period of one (1) year, unless otherwise stated in the Purchase Order.
When DCM transfers the Client’s domain and website files to its servers, the website must be developed in WordPress. During the transfer process, there may be a temporary downtime of up to 72 hours as the Domain Name System (DNS) propagates.
After all updates and changes have been completed and approved—whether by the Client’s webmaster or DCM (additional fees may apply)—DCM will push the site live.
DCM may perform required maintenance during the term, which may result in periodic server downtime. As part of DCM’s guarantee program, access to the live version of the website will not be provided to the Client. Instead, access may be granted to a staging version of the site.
If the Client insists on accessing the live site, DCM will require a signed waiver of liability. This waiver will acknowledge that all guarantees (if any) will be immediately voided once live access is granted.
Upon termination or expiration of the agreement, and assuming the Client has paid in full, DCM will provide the Client with a complete copy of the website files for transfer to another hosting provider.
DCM’s hosting services apply only to WordPress-based websites. If email account migration is needed, DCM will assist if possible. This must be arranged during the server setup phase.
j) LinkedIn Marketing Campaign
If this service chosen or included in the package, DCM will manage a targeted LinkedIn outreach campaign using the Client’s existing LinkedIn profile. To participate in this service, the Client must:
If access credentials are changed or revoked, DCM is not responsible for any delays, disruptions, or underperformance of the campaign.
DCM will:
The campaign is designed to generate approximately 5–10 qualified prospect interests per month, depending on target audience size and responsiveness. The setup process, which includes research, targeting, and message development, will take approximately 3–4 weeks.
DCM will manage replies as part of the ongoing outreach but does not guarantee follow-up communication. The Client is responsible for responding to leads or appointment requests in a timely manner.
To maximize effectiveness, it is recommended that the Client use an automated calendar scheduling tool (e.g., Calendly) to streamline lead engagement.
A minimum three (3) month commitment is required to assess campaign performance. The Client may cancel the campaign after the initial 3-month period with 30 days’ written notice. A cancellation form, provided by DCM, must be signed by the Client to finalize the cancellation.
DCM does not warrant or guarantee any specific outcomes from this campaign, including leads, conversions, ROI, or revenue.
k) Local Booster
DCM will provide local search optimization services to improve the Client’s online visibility and local presence during the term outlined in the Client’s Purchase Order (typically a 12-month term).
As part of the Local Booster service, DCM will:
A detailed report outlining the actions taken and directories updated will be delivered to the Client within 60–90 days from the start of service.
If the Local Booster package includes content publishing, the Client authorizes DCM to use provided or publicly available information—such as logos, business descriptions, photos, videos, and promotional material—for citation creation and content development. DCM may also represent the Client or their brand on external platforms as necessary to fulfill this service.
The Client must respond to the onboarding questionnaire included in the “Welcome Aboard” email. If the questionnaire is not completed, DCM will proceed based on the information available and to the best of its ability. Lack of input may result in limited or suboptimal outcomes.
DCM does not guarantee any specific results from the Local Booster service, including improved rankings, traffic, conversions, or revenue.
l) PPC (Pay-Per-Click) / Paid Online Ads Management
If stipulated in the Purchase Order, DCM will manage the Client’s paid advertising campaigns (PPC) across one or more major online advertising platforms, including but not limited to: Google, YouTube, Facebook, Instagram, Bing, LinkedIn, and Yelp. The selection of platforms will be at DCM’s discretion, based on what is most effective for the Client’s goals.
To initiate PPC services ( in Google or LSA or Meta or TikTok or LinkedIn If all or any are used , the Client must:
Ad spend budgets will be billed directly to the Client’s credit card by the applicable advertising networks whenever possible. DCM’s management fee remains fixed, regardless of the amount of the ad budget spent.
Campaign setup may take approximately 14 days from the date of submission. During the initial 30–90 days, DCM may or may not use the full monthly budget while optimizing and testing campaign performance.
Once campaign work begins, no refunds will be issued for the setup fee, management fee, or ad spend processed through DCM’s accounts or credit facilities.
The campaign is typically designed to run for 30 days per cycle, depending on budget and duration outlined in the Purchase Order.
DCM must receive written notice of cancellation at least 14 days before the end of any monthly billing cycle. Failure to provide timely notice may result in continued billing for the subsequent month.
DCM makes no guarantees or warranties regarding ad placement, impressions, clicks, lead quality, frequency of appearance, or overall campaign performance.
m) Social Media Monthly Management
DCM will provide ongoing management of the Client’s social media presence on platforms such as Instagram, Facebook, LinkedIn, and Twitter, TikTok (as applicable and specified in the Purchase Order).
As part of this service if included or chosen, DCM will:

n) Video Commercial Creation and Marketing
DCM will produce a professional video commercial to enhance the Client’s digital presence. The video will be approximately 30–45 seconds in duration and created based on the video style selected by the Client.
Key components of the service include:
The Client is entitled to one (1) revision at no additional cost. Any further edits or requests beyond the initial revision may incur additional fees.
Once final approval is received, DCM will:
DCM does not guarantee specific search engine rankings, YouTube placement, or view counts for the video. The effectiveness of the video depends on numerous external factors outside of DCM’s control.
o) Website Maintenance and Hosting Service
DCM will provide routine website maintenance and secure hosting for the Client’s website, unless otherwise specified in the Purchase Order.
As part of this service, DCM will:
Content, images, and other materials for updates must be supplied by the Client. DCM will not generate new content for updates unless this is explicitly included in the Purchase Order.
Websites must be built or compatible with the WordPress platform. During domain transfer to DCM’s server, the website may experience up to 72 hours of downtime as DNS changes propagate.
Routine server maintenance may also result in periodic downtime. DCM will make reasonable efforts to minimize service interruptions.
DCM does not warrant or guarantee any specific performance outcome from hosting or maintenance services.
p) ADA Compliance
DCM offers an ADA Accessibility Solution Widget that includes both a user interface and AI-driven functionality to enhance accessibility for users with disabilities. This service is designed to support compliance with applicable accessibility standards but does not constitute legal compliance advice.

By continuing to use the ADA widget, the Client agrees to the terms listed above and acknowledges the limitations and disclaimers.
q) Automated Lead Conversion and Client Engagement Service
By subscribing to DCM’s Automated Lead Conversion and Client Engagement Service, the Client authorizes DCM to implement AI-powered tools designed to enhance lead conversion, automate communication, and streamline client engagement.
Service Features:

DCM aims to increase operational efficiency and lead conversion but does not guarantee specific results such as increased revenue or conversion rates. Success depends on various factors, including the Client’s responsiveness and internal business processes.
Additional Usage-Based Charges:
All usage charges will be billed in addition to any flat monthly service fees.
r) Custom Visitor Tracking Service – Terms & Conditions
By subscribing to DCM’s Custom Visitor Tracking Service, the Client authorizes DCM to install and manage a proprietary tracking tool on the Client’s website. This tool uses first-party tracking technology to monitor visitor activity and provide insights into website performance and user behavior.

DCM does not guarantee improvements in traffic, engagement, conversion rates, or other specific outcomes. Results depend on multiple external variables, including the Client’s website design, content quality, user experience, and complementary marketing strategies.
This agreement, including all terms, exhibits, and add-ons, outlines the scope of services provided by DCM and the responsibilities of the Client. Each service listed is governed by its respective terms, and all services are provided on a best-effort basis unless otherwise guaranteed in writing.
DCM makes no express or implied warranties regarding business outcomes such as return on investment, revenue, lead volume, or customer acquisition. Results will vary depending on industry competitiveness, search engine algorithm updates, user behavior, and the Client’s responsiveness.
General Conditions:
The Client acknowledges that they have read and understand all applicable sections and agree to the terms as a condition of receiving services. Acceptance of these terms is confirmed through signature on the main Purchase Order or by continued use of DCM’s services.
